1. Agreement to these terms

These Terms & Conditions govern your access to the Vgent website, applications, hosted experiences, public avatar experiences, and related services. By accessing or using Vgent, you agree to these terms. If you are using Vgent on behalf of a company or organization, you confirm that you have authority to bind that entity to this agreement.

2. What Vgent provides

Vgent is a platform for building and publishing virtual AI agents. Features may include hosted avatar experiences, realtime voice interaction, knowledge-base indexing, public sharing, embedding, configuration tools, analytics, billing surfaces, and connected capabilities. We may improve, modify, suspend, or discontinue features at any time.

You may not use Vgent to violate law, infringe intellectual property, harass or defraud others, distribute malicious code, interfere with the service, attempt unauthorized access, or generate or publish content that you do not have the right to use. You may not use Vgent in a way that threatens the security, availability, or integrity of our platform or another party's systems.

5. Customer content and knowledge sources

You retain ownership of content you upload or connect to Vgent, including documents, URLs, instructions, configuration data, and branding assets. You grant Vgent the limited rights needed to host, process, index, transmit, and display that content in order to operate the service for you. You are responsible for confirming that you have the right to use all content and sources connected to your account.

6. AI output and human review

Vgent helps generate responses and automate interactions, but AI output may be incomplete, inaccurate, or unsuitable for a particular use case. You are responsible for determining whether output is appropriate before relying on it for business, operational, legal, financial, compliance, or customer-facing decisions. You remain responsible for the conduct of your published agent.

7. Billing, trials, and renewals

Paid access, included usage, overage pricing, and trial terms are described in the product and billing experience that applies to your account. Fees are non-refundable except where required by law or expressly stated otherwise. If your payment method fails or your account loses access under the applicable plan, we may suspend or limit features until billing is resolved.

8. Intellectual property

Vgent and its service design, software, trademarks, logos, documentation, and platform materials are owned by Vgent or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the service under these terms, no rights are transferred to you.

9. Suspension and termination

We may suspend or terminate access if we believe you have violated these terms, created risk for the platform, failed to pay required fees, or used Vgent in a way that could harm users, customers, or systems. You may stop using the service at any time. Sections that by their nature should survive termination will continue to apply, including ownership, disclaimers, limitations of liability, and dispute-related provisions.

10. Disclaimers

Vgent is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee uninterrupted availability, error-free operation, or that outputs will always be accurate, complete, or suitable for your intended purpose.

11. Limitation of liability

To the maximum extent permitted by law, Vgent and its affiliates, officers, employees, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of revenue, profits, goodwill, data, or business opportunities arising from or related to your use of the service. Our aggregate liability for claims related to the service will not exceed the amount you paid to Vgent for the applicable service during the twelve months before the claim arose.

12. Changes to these terms

We may update these Terms & Conditions from time to time. When we do, we will post the updated version on this page and update the effective date above. Continued use of Vgent after an update becomes effective constitutes acceptance of the revised terms.
